Private and Confidential

This Private Member Agreement (hereinafter referred to as “PMA”) is made on and after March 23, 2023 (the “Commencement Date”), or at time a Member participates in any event by Thy Lawful Remedies, or Host, woman, kathleen; this PMA applies, as agreement of living, men and woman, breathing souls, in private capacity only;

and is by and between:

Thy Lawful Remedies, a Faith-Based Ministry, (hereinafter “TLR”), care of: email: [email protected]; no attorney, accountant or doctor is associated in that capacity and and no advice or opinion ever;

And

the living, man or woman, breathing soul, who by free will and choice, without coercion acts in following manner by: 1. reading this, 2. by joining any event, course, webinar, listening, watching, participating; 3. providing email; 4. giving Contribution; and all who attend through initiation to join this event of this PMA, collective and separately hereinafter “Member” or "Members";

TLR and Member may separately be referred to as “Party” and/or collectively “Parties”.

Agreement of Parties: Members by watching, attending, listening, participating, interacting, giving email, giving Contribution, viewing lives or replays, listening to any event, collectively and separately herein "Property"; provided by TLR or Host; the terms of this PMA shall govern and are in effect Members agreement, consent by free will to all terms set forth herein. Each Party affirms that they are alive, flesh-and-blood, breathing, a living man or woman, at least 18 years of age, of sound mind, acting of their own free will, and contracting in the private as a man or woman, living soul, in a private capacity, only. Both Parties agree to act honorably in all matters. This PMA is governed by Divine Law, Ecclesiastical Principals, Natural Laws, and Equity Jurisdiction, and is based on facts, evidence, honor, and the duty of No Harm.

The Parties acknowledge that they are not "Live Birth" (as define in state constitutions such 410 ILCS 535/12) as products and are, thereby outside the jurisdiction and authority of Federal, State, or local agencies, courts, statutes, codes, titles, acts, policies, or other legal systems. This exemption extends to any and all complaints, claims, or grievances. Parties voluntarily agree to change capacity from that of a public “person”, "citizen", "resident", "individual" and any and all other titles (as define in constitutions, or other “legal” man-made agreements) to that of a private man or woman, living soul.

Come now, In consideration of the mutual promises and activities the Parties concur and consent to the following Terms, Conditions, Agreement, and Purpose of this PMA is as follows:

TLR is a faith-based Private Member Assembly, unincorporated and non-statutory. TLR is established to unite a community of truth seekers committed to reclaiming privacy, autonomy, and authentic living. TLR exists to provide its Members with Resources, Services, and educational tools, collectively referred to as "Property") designed to empower mankind and foster personal, spiritual, and conscious growth.

Limited, non-transferable License: In gratitude for the voluntary contributions made by Members, TLR offers access to Property as a benefit of Member status of applicable event under the terms of this PMA. TLR grants Members a non-exclusive, non-transferable license to utilize the Property solely for personal, internal purposes, such license is not permission to share with other men or woman, and strictly prohibits sharing with entities, government, agencies, corporations, titles and any and all others outside this realm of TLR.

Through shared knowledge, mutual respect, and collaboration, TLR aims to create a thriving, self-sustaining community grounded in honor, integrity, and service to one another, while remaining firmly within the private domain and governed by the Laws stated above and in TLR Bylaws. Member agrees TLR, Member(s) and Host retain all rights from all outside interference. Artificial Intelligence, titles like attorney, agency, all fictitious soulless entities are forbidden, prohibited, and revoked from joining.

1.        Entertainment & Education: All information presented herein, is private and intended for entertainment or educational purposes only, sparking thoughtful communication, and inspiration though of various Property. TLR does not give legal, tax, medical advised and Members wanting such advice shall seek legal, tax, or financial advice from those in the matrix of those respective professions. All interactions are ‘Private’ with those of mankind and all content of any kind is strictly private and confidential.

a.        Members accepts these terms for contact via social media, sign up, acknowledges, agrees, comprehends:

All content and information by or from TLR and or Host is proprietary materials such as, but not limited to: zoom calls, audio and/or visual presentations, templates, documents, group gatherings, trainings, materials, videos, workshops, holistic health practices, natural wellness education, spiritual guidance, members area, webinars, evaluations, consultations, email, website, natural resources, offerings, formulating, process, methods, technology, strategies and/or other content, collectively and or separately hereinafter “Resources”; and

All services such as: events, yoga offerings, meditations, breath techniques, visualization, classes, any and all courses, systems, coaching, used whether from a third-party provider or Host are services provided, collectively and or separately hereinafter “Services”. By accessing or using the Resources and/or Services; herein collectively "Property" each Member chooses the respective “Member Engagement Level” and acknowledges that, Member is contracting in private under these terms for all Property, be it past, present and or future.

2.       Self-Governance & Other Members: Members seek to help each other achieve better health, education, self-governance and good quality of life. Member understand that within TLR PMA, a private contractual relation exists as a contract member-to-member association relation, for the benefit of all Members.

3.      Free Will: Member has freely chosen to join as a private Member of TLR under this PMA and its Property offerings of free will and consent and agrees to change legal capacity as a public person, citizen, resident, customer, client or other title; to a private Member, man or woman, living soul without any pressure or coercion/extortion.

4.        Governing Laws: Member understands PMA Terms and Condition, as protected by Laws as stated herein, and is outside the jurisdiction and authority of Federal, State, Parliament, Vatican, agencies and all other man-made authorities (which govern entities, corporations, products), concerning any and all complaints or grievances against: TLR, Trustee(s), HOST, Members, team, volunteers, Council of Elders, Stewards, Advisors, and or other supervise men/woman, hereinafter separately or collectively “Representatives”. All rights of disputes, claims or grievances will be settled by in accordance with the TLR Bylaws Council of Elders, designee, committee, or tribunal as applicable per TLR Bylaws. It is hereby agreed maritime, admiralty, Universal Commercial Code “UCC” IS waived by Member for the benefit of TLR and its Representatives. Member agrees to have sought sufficient education to determine that this is the course of action freely chosen by Member and all questions have been answered to satisfaction of Member.

5.        Forgo Public Status and its Laws: Member, agrees All activities and action within TLR are private contractual matter of like kind, and Member refuse to share with the Local, State, or Federal investigative, entrapment or investigation to enforce a legal code, act or statute, title or enforcement agencies. Member does fully agree not to pursue any course of legal action (man-made legal system = maritime, admiralty, and/or UCC) against a TLR, Host, fellow Member or Representatives, unless that Member is exposed to a clear and present danger of substantive evil, which shall be reported instantly and immediately to TLR by verbal and written communication to email above.

6.        Jurisdiction and Dispute Resolution: Member acknowledges and agrees that TLR operates under Laws stated herein and confirms Equity jurisdiction, governed by evidence, facts, honor, and the principle of no harm. Member willingly waives the use of jurisdictions such as maritime law, UCC, and admiralty law, as well as the authority of Federal and State Agencies regarding any complaints or grievances involving TLR, Host, Representatives, other Members, or volunteers acting on behalf of TLR. Any and all disputes or grievances shall be resolved through TLR's Bylaws, such as, Council of Elders, or a designee Member committee to discuss matter, or tribunal as applicable therein.

If just remedy is not achieved through this process, the claim may be brought to an open court of record in equity only, governed by a jury of 12 peers unrelated to the Parties, each Party will recommend 12 potential jury living souls, then each Party shall pick 6 of the other Party's recommendations, an unbiased third Party will be agreed upon by the Parties to act as magistrate.

7.        Member Conduct: Member affirms they are acting privately, of free will, without coercion or undue influence, and confirms Member has read, understood, and agreed to the terms of this PMA. Member status may be terminated if the Member engages in abusive, violent, threatening, destructive, or harassing behavior toward other Members, Host or Representatives, at sole discretion of TLR Host. No refunds on Contributions shall given.

8.        Waive with Consent: Other aspects of informed consent may take place in Member’s discussions with the providers and fellow Members of PMA. Member voluntarily choosing this method of education/coaching and service providers, does not hold PMA or TLR or its Members financially liable for any particular outcome or lack thereof, Member is solely accountable.

9.        Use discernment – not advice: Member understands and acknowledges that the Property and information provided or offered by TLR, HOST & PMA Representatives is provided for private educational, entertainment only and is an expression of experience and not professional, financial, medical or legal advice or opinion and Member will use discernment on all matters and be accountable to self for all actions, implementation or lack of, and shall seek medical, tax or legal advice from the matrix titles as is free choice.

10.     Rights: Members rights of absolute freedom of religion, free speech in honor with no harm, request, and meeting to together for the lawful purpose of helping each man and woman in asserting Rights, liberty, life in the pursuit of happiness plus the right to own property, shall continue to be protected under this PMA.

11.     Seek Advice of Choosing: Members also retain the freedom to make decisions regarding legal assistance or other private business activities has the freedom to choose, at Members own discretion and responsibility, whether to utilize the services provided by other TLR, HOST, Members or Representatives. Member is sole responsible and accountable for all actions of Member. TLR, Host, Representatives, and other Members do not assume responsibility for these Member’s choices.

12.     Member Dues, Gifts, Donations, and Contributions: All Member dues, gifts, donations, and other forms of support hereinafter separately and collectively referred to as “Contributions” are made voluntarily and in honor , as a free-will offering within the private domain. Contributions may be offered in exchange for access to Property and are considered special deposits made through private, lawful means only.

A. While Members may choose to use public transaction tools (e.g., credit cards or digital processors) for convenience, such methods do not alter the private nature of the association or imply waiver of private standing. The use of public instruments shall not convert Contributions into commercial transactions, all Contributions are special deposits in private capacity only.

B. All Contributions are deeply appreciated and are deemed non-refundable, regardless of Member Engagement Level of participation, usage, or change of circumstance. By making a Contribution, the Member acknowledges full agreement with these terms and affirms that such Contribution was made freely, without coercion, and in alignment with the sacred purpose and private status of TLR.

13. Term and Duration: The term of this PMA shall begin on the Effective Date of Member joining TLR and shall remain in effect for the duration of engagement by the Member. Member may join an event one of TLR Member offerings, where TLR Property such as Resources and or Services are provided these are Member Engagement Level which may have a specific term associated and these are separately and or collectively “Member Engagement Term”.

A. Each Member Engagement Term shall be defined by the offering selected of the applicable Resources and or Services with Contribution for selected Level of Member’s choice at the time of commitment and per this PMA and shall conclude upon completion of the agreed-upon Member Engagement Term or conveyance time period. However, the foundational terms of this PMA such as but not limited to Confidentiality, Intellectual Property, Code of Conduct, Jurisdiction, and Remedies shall survive and remain binding for a period of twenty (20) years from the date of termination. This extended term is essential to uphold the private trust, proprietary knowledge, and lawful integrity upon which TLR.

14.     Confidentiality Clause: All information, discussions, materials, and communications shared within the PMA, such as and not limited to proprietary content, teachings, coaching sessions, Resources, Services, the Property of TLR, and Member interactions, are strictly confidential. Member agrees and consents not to disclose, distribute, reproduce, or share any Property or information obtained within the PMA with any outsiders, third parties, or any entity outside of TLR, whether directly or indirectly, without express written consent from the Host and TLR By-Laws. Any breach of confidentiality may result in immediate termination and potential lawful action, such as Default Judgement in favor of TLR.

15.     Owner of Knowledge, Content, Resources, Services, the Property: All Resources, Services, materials, teachings, are Property of TLR exclusively, and proprietary methodologies shared shall remain the sole Property of the TLR, and Host. Members are strictly prohibited from reproducing, distributing, modifying, reselling, or repurposing any content, in whole or in part, without explicit written permission from Host. Any unauthorized use shall result in lawful action and termination of Member Engagement Level and further action as stated herein and in TLR By-Laws, such as Default Judgement in favor of Host.

16.     Consent of Default Judgement: Member agrees that any unauthorized use or disclosure of the Property is breach of PMA and may cause irreparable harm to TLR, Host, Members, Representatives; therefore, TLR through Host shall be entitled to seek remedy immediately. Member agrees to a default judgement of ten million ($10,000,000.00) dollars to be paid at par value of gold or silver coins on date of claim; the location is of Host sole choice. Such unauthorized use, action or disclosure allows TLR Council of Elders to require Host to seek immediate remedy, without need to post bond, to prevent any such unauthorized disclosure. An additional amount of $1,000 per follower on all social media will be added. This covers distribution of Property to any and all non-members of this TLR and this PMA, artificial intelligence, titles, entities and all other.  

17. Member Changes: When deciding to become a Member of TLR and take part in any and all its platform(s), site(s), and/or Property, Member guarantees that the information provided about Member is given to TLR as truthful and correct. Additionally, during the length of this PMA (or Member offering) Member is responsible and accountable to inform TLR of any information changes, such as address change.

18.  Notice and Communication: All official notices, updates, and communications from TLR, Host or Member shall be provided in writing with 30 days in advance of Contributions; if applicable; and with response from other Party acknowledgement of receipt received: via email above, or Mail return receipt, Notices shall be deemed effective upon acknowledgment.

19.  Member Exit and Withdrawal: Members may voluntarily withdraw from participation under this PMEA at any time with 30-Day notice of any reoccurring Contribution or otherwise, by providing written notice to Host, as described herein, with confirmation by return acknowledgement. Such withdrawal shall not affect prior obligations, such as those related to confidentiality, Property, non-disclosure, and remedies as outlined in this PMA and TLR Bylaws. Any unused Property or Contributions made prior to withdrawal are deemed non-refundable. Host reserves the right to accept or decline re-engagement at sole discretion, should the Member seek to return.

Acknowledgement: I, Member, understand that as Member, status can and will be revoked if I, the Member, engage in abusive, violent, menacing, destructive or harassing behavior towards any other Member, Host, or Representative of TLR. I, Member; who freely joins TLR for agrees to this PMA as private event and comprehends, and understands the Purpose, Terms, and Condition stated herein, and all questions have been answered fully to Members satisfaction.

A. All decisions made by Member is at the discretion of the Member. Whilst every effort has been made to accurately represent, there is no guarantee provided. All information is offered as-is. Examples and samples are NOT to be interpreted as a promise or guarantee of any kind. TLR and Host are not responsible for any Member's actions or lack of action. By consenting to this PMA, each Member holds TLR, HOST, its trustees, Members, affiliates, et. al. harmless in any event or claim.

B. By attending, listening, viewing, any and all offerings of TLR, Host, be it this private event or other by doing so it is equivalent to autographing consent below, the Parties acknowledge and agree to all of the aforementioned terms, including those related to Contributions, donations, billing, no refund policy, and confidentiality and comes in honor.
